These Terms of Service (“Terms”) govern your access to and use of the website, online store, products, content, and services operated by BeeCause Charms, LLC, doing business as BeeCause Sneaker Charms (“BeeCause Charms,” “we,” “us,” or “our”).

Our online store is hosted by Shopify, which provides the ecommerce platform that allows us to offer our products and services to you.

By visiting our website, placing an order, creating an account, submitting materials for a personalized product, subscribing to communications, or otherwise using our services, you agree to these Terms and all policies referenced in them, including our Privacy Policy, Shipping Policy, and Return and Refund Policy.

If you do not agree to these Terms, do not use our website or services.

1. Eligibility and Website Use

You must be at least the age of majority in your state or jurisdiction to make a purchase through our website. If you permit a minor to use this website, you are responsible for their activity.

You may use our website and services only for lawful personal or business purposes and in accordance with these Terms.

You may not use our products, website, content, or services for any illegal or unauthorized purpose.

2. Customer Accounts

Certain website features may allow you to create a customer account.

You are responsible for:

• Providing current, complete, and accurate information
• Maintaining the confidentiality of your login credentials
• Restricting access to your account
• All activity conducted through your account

Notify us promptly at info@beecausecharms.com if you believe your account has been accessed without authorization.

We may suspend or terminate an account that contains inaccurate information, is used fraudulently, violates these Terms, or creates a risk to BeeCause Charms, Shopify, our customers, or others.

3. Product Information

We make reasonable efforts to describe and display our products accurately. However:

• Colors may appear differently depending on your screen and device
• Handmade, hand-finished, enamel, epoxy, rhinestone, resin, and personalized products may have minor variations
• Product photographs may be enlarged to show detail
• Measurements and weights are approximate unless expressly stated otherwise
• Packaging may change
• Product availability may change without notice

Minor variations that do not materially affect the product’s intended use are not necessarily manufacturing defects.

We may update, modify, discontinue, limit, or replace a product at any time without notice.

4. Shoelace-Charm Use and Safety

BeeCause Charms are decorative accessories designed for compatible laced footwear and other suitable lace-up items.

Compatibility may vary depending on:

• Lace width and thickness
• Lace material
• Eyelet spacing
• Shoe construction
• Charm size and weight
• Placement on the laces

Customers are responsible for determining whether a charm is appropriate for their footwear and intended activity.

For safer use:

• Install charms securely and correctly
• Check charms and laces before wearing
• Do not place charms where they interfere with tying, movement, or the proper fit of the footwear
• Remove loose or damaged charms
• Use appropriate judgment during running, sports, exercise, or other physical activities

Our charms contain small parts and may present a choking hazard. They are not toys and should be kept away from young children and pets.

To the fullest extent permitted by law, BeeCause Charms is not responsible for injuries, trips, falls, lost charms, damaged laces, damaged footwear, or other losses resulting from incorrect installation, improper placement, misuse, alterations, normal wear, or use that is inconsistent with the product’s intended purpose.

5. Orders

Submitting an order does not guarantee that we will accept or fulfill it.

We reserve the right to:

• Accept or decline an order
• Limit quantities
• Cancel an order
• Request additional information
• Correct pricing or product-information errors
• Refuse transactions that appear fraudulent, unauthorized, abusive, or intended for unauthorized resale

If we cancel an order after payment has been processed, we will issue any applicable refund to the original payment method.

You agree to provide accurate billing, shipping, contact, and payment information and to update that information when necessary.

We are not responsible for delays, failed deliveries, or additional expenses caused by incomplete or incorrect information supplied by the customer.

6. Prices and Payment

Prices are displayed in the currency shown on the website and may change without notice.

Applicable shipping charges, taxes, discounts, and other fees will be displayed during checkout when available.

Payment is due when the order is placed. Transactions are processed through Shopify and its authorized payment providers. We do not directly store complete payment-card information.

We reserve the right to correct pricing, typographical, promotional, or calculation errors, including after an order is submitted. If a material correction affects your order, we may contact you, cancel the affected item, or provide an appropriate refund.

7. Promotions and Discounts

Promotions, discount codes, free gifts, bundles, mix-and-match pricing, event pricing, and other special offers are subject to their advertised terms, availability, and expiration dates.

Unless expressly stated otherwise:

• Discount codes cannot be applied after checkout
• Discounts may not be combined
• Free gifts are available while supplies last
• Offers have no cash value
• Promotions may exclude certain products
• Event and expo pricing may differ from online pricing
• We may modify, suspend, or end a promotion when permitted by law

If a promotion is subject to additional terms, those terms become part of these Terms.

8. Personalized, Photo, Logo, and Custom Products

Personalized products may require you to provide photographs, logos, artwork, names, initials, dates, text, placement instructions, or other content (“Customer Materials”).

Production timing for a personalized product begins after we receive all required Customer Materials in a usable format and any requested information has been confirmed.

You represent and warrant that:

• You own the Customer Materials or have permission to use them
• You have permission from any identifiable person shown in a photograph
• The materials do not infringe another party’s copyright, trademark, publicity, privacy, or other rights
• The materials are not illegal, threatening, abusive, hateful, obscene, defamatory, deceptive, or otherwise inappropriate
• Our use of the materials to create your order will not violate any law or third-party right

You grant BeeCause Charms a limited, nonexclusive license to reproduce, crop, resize, adjust, format, and otherwise use the Customer Materials as reasonably necessary to communicate with you, prepare a proof when applicable, manufacture the personalized product, fulfill the order, provide support, and address a requested reorder or guarantee claim.

This permission does not authorize us to use your private personalized materials for unrelated advertising without additional permission.

We may decline a custom request that we reasonably believe violates a law, another party’s rights, these Terms, or our content standards.

Image quality and placement

The appearance of a personalized product depends on the quality, dimensions, lighting, resolution, cropping, and composition of the materials provided.

We are not responsible for defects already present in a customer-supplied image, including:

• Low resolution
• Blurriness
• Poor lighting
• Unwanted cropping
• Compression
• Incorrect colors
• Obstructed subjects
• Missing portions of the original image

We may make reasonable adjustments to prepare materials for production. Screen previews and digital proofs may not perfectly reproduce the color, brightness, scale, cropping, or appearance of the finished physical product.

Customers are responsible for reviewing any proof provided and promptly reporting requested corrections before approving production. Once an approved personalized product enters production, changes or cancellations may not be possible.

9. Intellectual Property

The website and its content, including the BeeCause name, BeeCause Charms name, BeeBee mascot, logos, branding, product photographs, graphics, designs, text, videos, collection artwork, and website arrangement, are owned by or licensed to BeeCause Charms and are protected by intellectual-property laws.

You may use the website for personal shopping and informational purposes only.

Without prior written permission, you may not:

• Copy or reproduce our artwork or designs
• Use our photographs or product images for commercial purposes
• Remove watermarks or ownership notices
• Manufacture products based on our proprietary designs
• Sell counterfeit or unauthorized BeeCause products
• Scrape or extract website data
• Use our branding in a way that suggests sponsorship or affiliation
• Modify, distribute, publish, license, or commercially exploit our content

“BeeCause,” “BeeCause Charms,” “BeeCause Sneaker Charms,” “The ORIGINAL Shoelace Charms,” BeeBee, and associated branding may be trademarks or proprietary brand assets of BeeCause Charms.

10. Third-Party Trademarks and Customer Materials

Names, logos, characters, artwork, and trademarks belonging to third parties remain the property of their respective owners.

The appearance of a third-party name or mark does not necessarily imply endorsement, sponsorship, partnership, or affiliation unless expressly stated.

A customer’s submission of a logo, photograph, character, team identifier, event mark, or other third-party material does not establish that the customer has permission to use it. We may request evidence of authorization or decline production.

11. Shipping and Fulfillment

Ready-to-ship products are generally processed within the timeframe stated in our Shipping Policy.

Personalized, photo, and logo products are generally processed after all required materials are received in a usable format.

Processing times are separate from carrier transit times and are estimates rather than guaranteed delivery dates.

When BeeCause Charms is traveling for an expo or event, order processing and shipping may temporarily pause. When possible, the website will announce the applicable pause and expected resumption date.

We are not responsible for delays caused by:

• Shipping carriers
• Weather
• Natural disasters
• Customs
• Incorrect addresses
• Holiday volume
• Service disruptions
• Events outside our reasonable control

Risk of loss and delivery responsibilities are subject to applicable law and the carrier’s tracking and delivery records.

12. Final Sale, Returns, and the Lifetime Sparkle Guarantee

Because of the nature of our products, charms are generally final sale and are not returnable for a change of mind.

Personalized, photo, logo, custom, clearance, and final-sale products are not returnable except where required by law or covered by our applicable defect guarantee.

Authentic BeeCause Charms may qualify for our Lifetime Sparkle Guarantee when they experience a manufacturing defect, subject to the requirements, exclusions, availability, verification process, and replacement terms stated in our Return and Refund Policy.

The Lifetime Sparkle Guarantee is not a promise that a product will remain unchanged despite normal wear, accidental damage, loss, misuse, chemical exposure, improper storage, alteration, or other excluded causes.

Customers are generally responsible for replacement shipping costs for mailed guarantee claims. No shipping charge applies when an approved replacement is completed in person at an expo or event.

Complete terms are provided in our Return and Refund Policy, which is incorporated into these Terms.

13. Gift Cards

Gift cards are subject to applicable law and any additional terms displayed at purchase or redemption.

Gift cards:

• Must be redeemed using the unique gift-card code
• Are not redeemable for cash except where required by law
• Cannot be replaced if lost, stolen, deleted, or used without authorization unless required by law
• May be used with another accepted payment method when the balance does not cover the entire purchase

Customers are responsible for providing an accurate email address for digital gift-card delivery.

14. Third-Party Services and Links

Our website may provide access to third-party services, websites, applications, social-media platforms, payment services, or tools that we do not own or control.

We do not guarantee and are not responsible for third-party content, availability, policies, security, products, or services.

Your use of third-party services is governed by the terms and policies of those providers. Review those terms before completing a transaction or providing personal information.

15. Reviews, Feedback, and Public Submissions

If you submit a review, testimonial, suggestion, idea, comment, social-media tag, or other non-confidential content intended for public or promotional use, you grant BeeCause Charms a nonexclusive, worldwide, royalty-free license to reproduce, edit, publish, display, and share that content for business and promotional purposes, subject to applicable law.

This provision does not apply to private personalized-order photographs, private customer-service communications, or custom materials that were not submitted for public or promotional use.

You may not submit content that is unlawful, misleading, defamatory, infringing, abusive, obscene, malicious, or harmful.

16. Prohibited Activities

You may not:

• Use the website for unlawful or fraudulent activity
• Submit false information
• Impersonate another person
• Infringe intellectual-property or privacy rights
• Upload viruses, malicious code, or harmful technology
• Attempt to access restricted systems or another customer’s account
• Interfere with website security or functionality
• Harvest customer information
• Send spam or unauthorized advertising
• Use automated tools to scrape, copy, or monitor the website
• Circumvent purchasing limits or promotional restrictions
• Resell products while falsely claiming authorization or affiliation
• Use the website or our products in a way that harms BeeCause Charms, Shopify, our customers, or others

We may suspend or terminate access for prohibited conduct.

17. Disclaimer of Warranties

Except for the express Lifetime Sparkle Guarantee and any rights that cannot legally be excluded, our website, content, products, and services are provided on an “as available” and “as is” basis.

To the fullest extent permitted by law, we disclaim implied warranties, including implied warranties of merchantability, fitness for a particular purpose, durability, title, and noninfringement.

We do not guarantee that:

• The website will always be uninterrupted, secure, or error-free
• All website information will always be complete or current
• Every product will be compatible with every shoe or lace
• Product colors will appear exactly the same on every screen
• Delivery will occur by a particular date
• Use of the website or products will produce a particular result

Nothing in these Terms excludes any warranty or consumer right that cannot legally be excluded.

18. Limitation of Liability

To the fullest extent permitted by law, BeeCause Charms, its owners, employees, contractors, affiliates, service providers, and representatives will not be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, lost data, lost opportunities, or replacement footwear, arising from your use of the website, products, or services.

Where liability cannot be excluded, our total liability concerning a product or transaction will not exceed the amount you paid for the product giving rise to the claim, except where applicable law requires otherwise.

Some jurisdictions do not allow certain limitations or exclusions, so portions of this section may not apply to you.

19. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless BeeCause Charms, its owners, affiliates, employees, contractors, and service providers from claims, damages, liabilities, losses, and reasonable expenses arising from:

• Your violation of these Terms
• Your unlawful or improper use of the website or products
• Customer Materials you submit
• Your infringement of another party’s intellectual-property, privacy, publicity, or other rights
• Fraudulent, deceptive, or unauthorized activity conducted through your account

20. Termination

We may suspend or terminate your access to the website or services if you violate these Terms or applicable law, engage in fraudulent or abusive activity, or create a security or legal risk.

Obligations and liabilities incurred before termination will survive termination where applicable.

21. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or separated from these Terms. The remaining provisions will remain in effect.

22. No Waiver

Our failure to enforce a provision of these Terms does not waive our right to enforce that provision or any other provision later.

23. Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, Return and Refund Policy, and any additional terms displayed with a product or promotion, constitute the agreement between you and BeeCause Charms concerning your use of our website and services.

24. Governing Law

These Terms are governed by the laws of the State of Florida and applicable federal laws of the United States, without regard to conflict-of-law principles.

Any dispute will be handled in a court with appropriate jurisdiction as permitted by applicable law.

25. Changes to These Terms

We may update these Terms periodically to reflect changes to our products, business, technology, policies, or legal obligations.

The updated Terms become effective when posted, unless a different effective date is stated. The “Last updated” date at the top will identify the most recent revision.

Your continued use of the website after updated Terms are posted constitutes acceptance of the revised Terms to the extent permitted by law.
